These Terms and Conditions govern your use of the Lumencrest website and the engagement of Lumencrest consulting services. By using this website or entering into an engagement with Lumencrest, you accept these terms. Please read them carefully.   • "Lumencrest", "we", "us", "our" refers to the consulting practice operating under the Lumencrest name, based in Bangkok, Thailand.
  • "Client", "you", "your" refers to any individual or organisation using this website or engaging Lumencrest services.
  • "Engagement" refers to a consulting project agreed between Lumencrest and a client, governed by a separate engagement agreement or scope of work document.
  • "Services" refers to the consulting offerings described on this website: Meeting Cadence Audit, Internal Documentation System Design, and Leadership Cadence Design.

Services and Engagements

  • Each engagement is governed by its own written agreement, which takes precedence over these general terms where there is any conflict.
  • The scope, deliverables, duration, and fees for each engagement are agreed in advance and set out in writing.
  • All recommendations produced by Lumencrest are advisory in nature. The decision to adopt, adapt, or disregard any recommendation rests entirely with the client.
  • Lumencrest does not provide legal, financial, medical, or regulated professional advice. Our services are organisational and structural in nature.
  • Prices shown on this website are indicative starting points and may vary based on scope. Final pricing is confirmed in the engagement agreement.

Intellectual Property

All content on this website — including text, design, layout, graphics, and structural elements — is the property of Lumencrest and is protected by applicable intellectual property law.

Regarding deliverables produced during an engagement:

  • Unless otherwise specified in the engagement agreement, written deliverables (reports, documents, templates, cadence documents) produced for a client become the client's property upon full settlement of the applicable invoice.
  • Lumencrest retains the right to use general methodologies, frameworks, and approaches developed in the course of any engagement in future work, provided no confidential client information is disclosed.
  • Neither party may use the other's name or materials for promotional purposes without prior written consent.

Confidentiality

Lumencrest treats all information shared by clients in the course of an engagement as confidential. We do not disclose client information, engagement details, or observations to third parties, except:

  • Where required by applicable Thai law, court order, or regulatory authority
  • Where the client has given explicit written consent
  • To third-party service providers engaged by Lumencrest under appropriate confidentiality obligations, and only to the extent necessary to deliver the agreed service

Specific confidentiality obligations for any engagement may be set out in the engagement agreement.

Payment Terms

Payment terms for each engagement are specified in the engagement agreement. General terms are as follows:

  • Invoices are issued in Thai Baht (THB) unless otherwise agreed.
  • Payment is due within 14 calendar days of the invoice date unless a different period is agreed in writing.
  • Late payment may result in the suspension of work in progress until the outstanding amount is settled.
  • All fees are exclusive of applicable taxes, which will be added where required by Thai law.

Limitation of Liability

To the extent permitted by applicable Thai law:

  • Lumencrest's total liability in connection with any engagement shall not exceed the fees paid by the client for that engagement.
  • Lumencrest is not liable for indirect, consequential, or incidental losses arising from the use of, or inability to use, any deliverable or recommendation.
  • Lumencrest makes no representation that adopting any recommendation will produce a specific organisational outcome. All suggestions are offered as options for the client's consideration.
  • Lumencrest is not liable for losses arising from the client's decision to adopt, adapt, or disregard any recommendation.

Nothing in these terms excludes liability for fraud, gross negligence, or matters that cannot be excluded by Thai law.

Termination of Engagements

Either party may terminate an engagement by providing written notice. The specific notice period and any conditions attached to early termination are set out in the engagement agreement. In the absence of specific terms:

  • Work completed and costs incurred up to the date of termination remain payable.
  • Deliverables completed at the point of termination will be provided to the client following settlement of outstanding fees.
  • Lumencrest reserves the right to terminate an engagement if the client materially breaches the agreed terms and fails to remedy the breach within 14 days of written notice.

For active engagements, any material changes to the terms governing that engagement will be communicated directly.
